　　本協(xié)議于________年________月________日在中國××簽訂。簽約一方：________公司，主營業(yè)所在××（以下稱承租人）；簽約另一方：________公司，住營業(yè)所在××（以下稱出租人）。根據(jù)本協(xié)議，按下列條件，出租人想承租人出租，承租人從出租人租賃下述商品。

　　承租人付給出租人的全部租金分兩次支付，每一次于貨到目的港日算起6個月后支付；第二次于貨到目的港日算起12個月后支付。全部租金以美元支付，電匯出租人××銀行或出租人臨時指定的銀行。交貨后，無論承租人是否使用了商品，包括因不可抗力事故，均須按上述條件向出租人支付租金。
　　7.所有權：
　　在出租人把合同商品轉讓給承租人以前，其所有權屬于出租人。
　　8.處理：
　　本租賃協(xié)議期滿時，只要承租人付清全部租金，便有權以每太××美元購買合同商品。承租人付清貸款，貨物便歸承租人所有。
　　9.仲裁：
　　有關本協(xié)議的一切爭議應友好協(xié)商解決。雙方約定，若達不成協(xié)議，爭議案則提交仲裁。若出租人是原告，仲裁在中國進行；若承租人是原告，仲裁在××進行。仲裁的裁決是終局，對雙方均具有約束力。
　　10.稅費：
　　出租人在中國的全部收入須依中華人民共和國的法律納稅。
　　11.使用商品權：
　　除了承租人以外，任何人不經(jīng)出租人書面同意，不得使用該商品。
　　12.保證：
　　承租人在簽約后，但必須在裝運期一個月前，向出租人提交××中國銀行出具的以出租人為受益人的保證函，作為承租人履行本協(xié)議全部義務的保證金。
　　13.延期付款的罰金：
　　若承租人未按期付款，則必須向出租人交納延期款項的罰金，年率為×%，時間從付款到期日計算至實際付款日期。
　　14.維修：
　　承租人必須自負費用維持商品的良好狀況；但是出租人必須對商品的故障負責，承租人有權想出租人提出賠償因此所遭受的損失。
　　15.有效期限：
　　本協(xié)議的有效期是一年，自商品抵達目的港日計算。
　　16.適用法律：
　　本協(xié)議的簽訂、解釋和履行受中華人民共和國法律制約。茲證明，雙方在以上開首語中書明的日期簽署蓋章。本協(xié)議以英文書寫，一式兩份，每放各執(zhí)一份。

　　LEASE AGREEMENT

　　This Agreement is entered into on May 1， ________，in________，China，betoeen________，Co.with its principal office.at________，China（hereinafter called the Leasee）and________Co.with its principal office at________（hereinafter called the Leasor）.Hereby，the Leasor leases to the Leasee and the Leasee hires from the Lessor the commodity described hereunder in accordance with the terms and conditions set forth below：

　　The total rent shall be paid in two installments，of which，one shall be paid by the Leasor to the Leasor after six months from the date lf the arrival of the commodity at the port of destination，and the other shall be paid by the Leasee to the leasor after be paid by the Leasee to the lessor after twelve monthsfrom the date of the commodity arriving at the port of destination.Each payment is to be made in US dollar by T/T to Leasor may designate.After the commodity is delivered the Leasee shall pay the Leasor the full amornt of rent in accordance with the aforesaid terms and conditions，no matter whether or not the Leasee actually uses the commodity for any reason including force majeure accidents.
　　7.Ownership：
　　The ownership of the commodity belongs to the Leasor，before he transfers it to the Leasee.
　　8.Disposal：
　　Upon the expiration of the lease agreement，provided that there is no defarlt on the Leasees sede，the Leasee shall be entitled to purchase the commodity from the Leasor at US________each.When the Leasee has paid the price thereof，the commodity shall belong to the Leasee.
　　9.Arbitration：
　　Any dispute arising from this agreement shall be settled amicably through consultations between the two parties hereto.They agree that if no settlement can be reached，the case in dispute shall be submitted to arbitration，Incase the Leasor is the plaintiff，the arbitration shall take place in________，China；in case the Leasee is the plaintiff，the arbitration shall be conducted in________.The award of the arbitration shall be final and binding upon both parties.
　　10.Taxes：
　　Allearnings made in China by the Leasee shall be subject to taxation in accordance with the laws of the Peoples Republic of China.
　　11.Right of Using the Commodity：
　　Nobody except the Leasee may use the commodity，but the Leasee shall not allow any other person to use the commodity withort the Leasors prior written consent.
　　12. Guarantee：
　　The Leasee shall furnish the Leasor，on/after the signing of this agreement but not later than one month prior to the date of the shipment of the commodity stated herein，with a letter of guarantee issued by Bank of China， ________in favour of the Leasor as the secruity of full execution of the Leasees obligations under this agreement.
　　13.Default Interest：
　　In case the Leasee is in default of any payment herein，the Leasee shall pay the Leasor a default interest on the amount delayed at the rate of ________% per annum as from the date when the payment is due to the date of actual payment.
　　14.Maintenance：
　　The Leasee shall keep the commodity in good condition at his expense，but the Leasor shall be responsiboe for the breakdown of the commodity and the Leasee may lodge claims against the Leasor for anlosses occurred therein.
　　15.Duration：
　　The duration of this agreement is one year commencing from the date of the commoditys arrival at the port of destination.
　　16. Governing Law：
　　The formation，interpretation and exeion of this agreement shall be subject to the laws of the Peopoes Republic of China.
